Appendix A – Club Constitution
Section 1
- The Club shall be registered as Dundrum Football Club, and shall play under the name of Dundrum F.C.
- Home games shall be played at D.F.R.C. Centre/Meadowbrook Park, Dundrum, or, if pitches are unplayable, at Marlay Park.
- Official Club Colours shall be black and white vertical stripes.
Section 2
Section 2A Main Object
- The main object of the Club shall be the fostering of Association Football within the age groups permitted by the Football Association of Ireland
Section 2B Subsidiary Objects
In furtherance exclusively of the foregoing main object the Club shall have the following subsidiary objects:
- The fostering of Association Football within the age groups permitted by the Football Association of Ireland.
- The raising of the standards of Association Football and Team Management within the Club.
- The creation of a strong professional identity within the Football Leagues to which the Club is affiliated.
- The development of strong local bonds within the Dundrum area.
Section 3
In pursuit of these objectives the Club shall always act with integrity, in an ethical manner and with due regard for the environment
- The Club shall be governed and administered by an Executive Committee comprising the Chairman, Hon. Secretary and Hon. Treasurer. The Executive Committee together with the Vice-Chairman, Registrar, Assistant Secretary, Assistant Treasurer, the Club Trustees and the Manager and Assistant Manager and Coach of each registered team shall constitute the Club Committee. The Club Committee shall be responsible for the development of the Club. The members of the Executive Committee shall be elected at the Annual General Meeting (AGM) or Extraordinary General Meeting (EGM). The Vice-Chairman, Registrar, Assistant Hon. Secretary, Assistant Treasurer and Club Trustees may be elected at AGM, EGM or co-opted by the Club Committee.
- The Manager and Assistant Manager of each team shall be appointed on an annual basis. The Manager and Assistant Manager shall be responsible for the day-to-day running of the team to which they are appointed and shall carry out such Club duties as required by the Executive Committee and shall implement and abide by such instructions and guidelines as shall be agreed by the Club Committee.
- The Club shall elect or co-opt two Club Trustees who shall be named in the application to the relevant County Council for playing facilities. The Club Trustees shall have no legal or financial obligations and shall not be held personally liable in any way for any problem or difficulty which may arise as a result of their position within the Club.
- The Club may appoint a President, whose term of office shall be for a period of up to five(5) years. The President shall have an honorary and non-executive role in the Club. The Executive Committee may refer issues to the President for advice and recommendations. The Executive Committee shall nominate a candidate for President and the appointment must be ratified by a simple majority at the AGM.
Section 4
- Meetings of the Club Committee shall be held on a monthly basis with the dates fixed by the Executive Committee.
- One or more members of the Executive Committee, or their nominees shall be available for an agreed time every Tuesday night to deal with Managers’ queries/problems.
- Results and reports of all games shall be notified to the Hon. Secretary on or before the Tuesday night following the game.
Section 5
- No Team Manager, Assistant Manager or Coach may use the services of an unregistered or over-age player in a match.
- No Team Manager, Assistant Manager or Coach or Player may use foul language, shout at or abuse any match official, or any decision made by a match official.
- No Team Manager, Assistant Manager or Coach or Player may book a friendly game without first obtaining permission from the Hon. Secretary.
- No Team Manager, Assistant Manager or Coach or Player may disregard an instruction from a member of the Executive Committee who is acting on behalf of the Club.
Section 6
- The Hon. Treasurer shall be the custodian of the Club’s property and monies, and shall deal with same at the direction of the Executive Committee.
- All monies shall be lodged with an approved bank in the name of Dundrum FC, and all cheques shall be signed by the Chairman, Hon. Secretary and Hon. Treasurer or by any two of these three.

Section 7
- Players’ subscriptions shall be fixed for each season at the Annual General Meeting. Players who have not paid the subscription within six (6) weeks of registration may forfeit their team place at the discretion of the Executive Committee, following consultation with the relevant Team Manager.
Section 8
- An Annual General Meeting shall be held not later than November 30th each year. Nominations for elected officers, together with the names of proposers and seconders, and notices of motions, must reach the Hon. Secretary in writing not later than two weeks (14 days) prior to the date of the AGM.
- An Extraordinary General Meeting may be called if a written request, signed by two thirds plus one (2/3+1) of the eligible voters, is received by the Hon. Secretary.
Section 9
- Persons who have served a minimum of one full season as Manager or Assistant Manager with a registered Dundrum FC team may stand for executive office. The Executive Committee may propose for election to executive office any person who has served in any capacity and who has been in good standing with the Club for a minimum of one full season.
- At an Annual General Meeting or Extraordinary General Meeting each registered Dundrum FC team up to and including Under 17 shall have three (3) votes – i.e. Manager, Assistant Manager and one (1) parents’ representative. Each registered team Under 18 and above shall have three (3) votes – i.e. Manager, Assistant Manager and Team Captain. In the event of a tied vote at the AGM or EGM the Chairman shall have the casting vote.
Section 10
- Any Manager, Assistant Manager, Coach Player, helper or Club Official who by any action whatsoever contravenes the provisions of the Club Constitution shall be summoned before a hearing of the Executive Committee who shall take the appropriate action necessary. Any decision made by the Executive Committee following such a disciplinary hearing may be appealed to the Club Committee whose decision shall be binding.
Section 11
Keeping of Accounts
Annual Accounts shall be kept and made available to the Revenue Commissioners on request. Where the gross annual income exceeds €250,000 the accounts will be audited.
Section 12
Income and Property
The income and property of the Club shall be applied solely towards the promotion of the main object(s) as set forth in this Constitution. No portion of the Club’s income and property shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise howsoever by way of profit to members of the Club.
No officer shall be appointed to any office of the Club paid by salary or fees or receive any remuneration or other benefit in money or money’s worth from the Club. However, nothing shall prevent any payment in good faith by the Club of:
- a) reasonable and proper remuneration to any member or servant of the Club (not being an officer) for any services rendered to the Club;
- b) interest at a rate not exceeding 1% above the Euro Interbank Offered Rate (Euribor) per annum on money lent by an officer or other members of the Club to the Club;
- c) reasonable and proper rent for premises demised and let by any member of the Club (including any officer) to the Club;
- d) reasonable and proper out-of-pocket expenses incurred by any officer in connection with their attendance to any matter affecting the Club;
- e) fees, remuneration or other benefit in money or money’s worth to any Company of which an officer may be a member holding not more than one hundredth part of the issued capital of such Company;
Section 13
Winding Up
If upon the winding up or dissolution of the Club there remains, after satisfaction of all debts and liabilities, any property whatsoever, it shall not be paid to or distributed among the members of the Club. Instead, such property shall be given or transferred to some other institution or institutions having main objects similar to the main objects of the Club. The institution or institutions to which the property is to be given or transferred shall prohibit the distribution of their income and property among their members to an extent at least as great as is imposed on the Club under or by virtue of the Income and Property clause hereof. Members of the Club shall select the relevant institution or institutions at or before the time of dissolution, and if and so far as effect cannot be given to such provisions, then the property shall be given or transferred to some charitable object. Final accounts will be prepared and submitted that will include a section that identifies and values any assets transferred along with the details of the recipients and the terms of the transfer.
Section 14
Additions, alterations or amendments
No addition, alteration or amendment shall be made to the provisions of the main object clause, the income and property clause, the winding up clause, the keeping of accounts clause or this clause of the Constitution for the time being in force unless the same shall have been previously approved in writing by the Revenue Commissioners.
